Agreement and authority
These Terms of Service ("Terms") govern access to OfferOptics websites, applications, and services. By installing, accessing, purchasing, or using OfferOptics, you agree to these Terms on behalf of yourself and the retailer or organization you represent.
You represent that you are authorized to bind that organization and to connect its Shopify store, data, and third-party providers. If you do not agree, do not use the services.
The OfferOptics service
OfferOptics provides commerce intelligence, shopper assistance, recommendations, experimentation, approved automation, targeted offers, reporting, and connected-provider workflows according to the products and configuration available to your account.
Analysis and recommendations are decision support, not guaranteed outcomes. Unless a specific feature and merchant policy expressly authorize otherwise, administrative changes require an authorized user to review or approve them. You remain responsible for your store, merchandising, pricing, customer communications, legal compliance, and final business decisions.
Accounts, permissions, and integrations
- Provide accurate account and billing information and keep authorized access current.
- Grant only the Shopify and provider permissions needed for the features you choose.
- Protect administrator accounts, API credentials, service keys, and connected-provider access, and notify us promptly of suspected misuse.
- Confirm that you have the rights, notices, consents, and lawful basis required for data you direct OfferOptics to process.
- Follow the terms and policies of Shopify and every provider you connect. Third-party services remain governed by their own agreements and availability.
Acceptable use
You may not use OfferOptics to:
- Violate law, privacy rights, consumer-protection rules, or provider terms.
- Send unlawful, deceptive, abusive, discriminatory, or unsolicited communications or offers.
- Circumvent access controls, usage limits, billing, security mechanisms, or merchant approval requirements.
- Probe, disrupt, reverse engineer, copy, resell, or misuse the service except where law expressly permits it.
- Upload malware, credentials you are not authorized to use, or data unnecessary for the configured service.
Evaluation access, fees, and billing
Evaluation access, including a requested 30-day evaluation key, is optional and subject to OfferOptics approval, product fit, scope, and stated limits. Requesting access does not guarantee approval, a particular duration, or conversion to a paid plan.
Paid Shopify subscriptions are presented for approval through Shopify Billing. Pricing, allowances, usage charges, renewal period, and cancellation terms shown in Shopify or an applicable order form are incorporated into these Terms. You are responsible for authorized charges, taxes, and usage generated by your account. Except where required by law or expressly agreed, fees already incurred are non-refundable.
Data and privacy
You retain ownership of your store content and data. You grant OfferOptics the limited rights needed to host, process, transmit, transform, and display that information to provide, secure, support, and improve the contracted service.
Our Privacy Policy describes our data practices. Additional enterprise, data-processing, retention, or security terms in an executed agreement control where they conflict with these public Terms.
OfferOptics ownership and feedback
OfferOptics and its licensors own the service, software, models, interfaces, documentation, trademarks, and related intellectual property, excluding your data and third-party materials. These Terms grant a limited, non-exclusive, non-transferable right to use the service during the authorized subscription or evaluation period.
If you provide feedback, you permit OfferOptics to use it without restriction or payment, provided we do not identify you publicly without permission.
Availability and changes
We work to operate OfferOptics reliably, but the service can be interrupted by maintenance, incidents, Shopify, connected providers, internet conditions, or events beyond our control. Beta, preview, sample, and evaluation features may change or end.
We may update the service and these Terms. Material changes will be communicated as required. Continued use after an updated effective date constitutes acceptance unless applicable law or an executed agreement requires another process.
Suspension and termination
You may stop using OfferOptics and cancel an eligible Shopify subscription through the available Shopify workflow. We may suspend or terminate access for nonpayment, material breach, security risk, unlawful use, provider requirements, or discontinuation of a service, with notice where reasonably practicable.
On termination, your right to use the service ends. Provisions concerning payment, ownership, confidentiality, disclaimers, liability, and other terms that by their nature should survive will remain effective. Data is handled according to the Privacy Policy, retailer configuration, Shopify privacy lifecycle, and applicable agreement.
Disclaimers
To the maximum extent permitted by law, OfferOptics is provided "as is" and "as available." We disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee conversion lift, revenue recovery, margin improvement, uninterrupted service, or the accuracy or availability of Shopify or third-party data. Nothing in OfferOptics is legal, tax, accounting, or financial advice.
Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenues, goodwill, or data arising from these Terms. OfferOptics' aggregate liability arising from the service will not exceed the amount paid to OfferOptics for the affected service during the twelve months before the event giving rise to the claim. These limits do not apply where applicable law prohibits them or an executed agreement expressly provides otherwise.
General terms and contact
An executed order form, data-processing agreement, or enterprise agreement may supplement these Terms and controls over conflicting public language. If any provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, except with a permitted corporate transaction; OfferOptics may assign them as part of a reorganization, financing, merger, acquisition, or asset transfer.
